Terms of Service
Draft, under legal review. Version 2026-10-08-draft. This text is in force for alpha accounts until counsel-approved text replaces it; when it does, you will be asked to accept the new version at your next login.
These Terms govern use of NEXUS (gignexus.net), the NEXUS apps, and NEXUS Radio.
1. Who we are and what NEXUS is
NEXUS is operated by BlaineStorm, LLC, a Texas limited liability company ("NEXUS", "we"). NEXUS is a technology platform for discovering bands and venues, coordinating bookings, administering payments between venues and bands, and promoting member artists through NEXUS Radio and related media.
NEXUS is not a booking agent, talent agency, promoter, employer, bank, money transmitter, escrow agent, record label, publisher, or streaming service. Performance agreements are between the venue and the band. NEXUS facilitates them and is not a party to them.
2. Alpha period
Until NEXUS announces general availability, the service is in alpha. Data, bookings, and payment connections made during alpha may be reset. Every Stripe test connection will be removed at launch, and each band must complete Stripe onboarding again before it can be paid. Pre-registered accounts carry over.
3. Accounts
You must be 18 or older and able to form a binding contract. You are responsible for the accuracy of what you enter and for keeping your login secure. A working mobile number is required (see section 9). An active account with completed payment setup is required to appear in search and to send or receive offers. NEXUS may restrict visibility or access for payment risk, compliance, or conduct reasons.
4. Roles
Everyone starts as a fan and may add a band, a venue, or both, and may opt in as a scout. Additional terms apply by role: the Venue Terms, the Band Terms, the Scout Agreement, the Artist Media License (accepted at upload), and the Fan Media Contributor Agreement (accepted at upload). Where they conflict with these Terms, the role terms control for that role.
5. Payments
All payments run through Stripe. Venues fund a show by card no later than 48 business hours before showtime; NEXUS captures the payment and holds it only until payout. Bands are paid through Stripe Connect within 48 business hours after the show, once funds have cleared.
NEXUS charges a facilitation fee of 6% to the venue and 6% to the band on the performance fee. Travel, mileage, and lodging add-ons are not commissioned. Every cost is itemized to both parties before acceptance and does not change afterward. NEXUS does not advance funds and does not guarantee payment beyond what Stripe successfully processes.
Each band appoints NEXUS as its limited agent to receive payment from the venue on the band's behalf. Payment to NEXUS satisfies the venue's payment obligation to the band. The Payment Terms set out authorization, capture, cancellation, refunds, chargebacks, and payouts in detail.
6. Taxes
NEXUS does not withhold taxes. Bands and scouts are independent contractors responsible for their own taxes. NEXUS, through Stripe, issues IRS information returns where required and may pause payouts to anyone who has not supplied a valid tax identification number.
7. Conduct
Grounds for restriction or removal include:
- No-shows, repeated cancellations, or lateness
- Intoxication affecting safety or performance
- Fights, threats, or harassment
- Property damage
- Unsafe or unlawful behavior
- Misuse of booking, messaging, or payment tools
A no-show may lead to immediate restriction pending review and to a hold on the related payout.
8. Content and media
You keep what you own. By uploading music or media to NEXUS Radio you accept the Artist Media License at that moment. Fan footage is governed by the Fan Media Contributor Agreement at upload.
NEXUS responds to takedown notices under 17 U.S.C. ยง512. An artist disabling a song is treated as a valid takedown request with no penalty. Repeat infringers lose their accounts. Copyright notices: Blaine Tate, BlaineStorm, LLC, 1508 Pendleton Dr., Cedar Park, Texas 78613, support@gignexus.net.
9. Texts and calls
A mobile number is required to register. Registration sends a one-time verification code by text; verification codes are sent even if you have opted out of other messages. After registration you may stop promotional and informational texts by replying STOP. Booking-critical notices (payment captured, show cancelled, payout sent) continue while you have an active booking. Message and data rates may apply.
10. Disclaimer and limitation of liability
The service is provided as is. NEXUS does not vouch for any venue, band, or scout, and is not responsible for the performance, safety, or conduct of any party at a show.
To the fullest extent allowed by law, NEXUS's total liability to you for any claim is limited to the fees NEXUS actually received from you in the twelve months before the claim, and NEXUS is not liable for indirect or consequential damages.
11. Indemnity
You will defend and indemnify NEXUS against claims arising from content you upload, shows you book or play, and your breach of these Terms.
12. Disputes
Binding arbitration in Williamson County, Texas. If arbitration is unavailable, the courts of Williamson County, Texas apply. No class actions. Texas law governs.
13. Force majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including acts of God, natural disaster, government order, labor dispute, or internet or utility outage.
14. Changes
When these Terms change, the version changes and you will be asked to accept the current version at your next login. Continued use after acceptance means you agree.
